PURCHASE AGREEMENT TERMS
If you are reading this, we’d like to thank you for asking us to quote you for your Research Project(s) via the Purchase Agreement that was emailed to you (“Purchase Agreement”).
Our mission is to provide you and your clients with an intuitive and seamless user experience that enables you to get a deeper understanding of the everyday, real life moments of your research Respondents. Supporting you to ensure your project goes smoothly from quote to completion is our top priority.
However, a lot changes between the time we email you your Purchase Agreement and the time your Project actually goes live. In order to avoid any potential issues, please read these Purchase Agreement Terms which apply to the Purchase Agreement that was emailed to you. Clearly understanding these Purchase Agreement Terms will minimise any potential for misunderstanding and maximise the chances that your Project will go seamlessly.
If you expect that the Project requirements or scope may change between the date of your Purchase Agreement and the time the Project is ready to go live, we recommend that you add a buffer to the prices quoted in the Purchase Agreement in order to cater for any changes or alterations in scope between what was quoted via the Purchase Agreement and what may ultimately need to be set up when the Project goes live.

The “Customer”, “Researcher” and “Observer” have the definitions used in the Indeemo Standard Conditions of Service.
If the Project referred to in your Purchase Agreement goes live more than 8 weeks after the date of the Purchase Agreement, the Project will be treated as a New Project and will be subject to re-quote based on the amended project scope and Indeemo prices that apply at that time.
The price quoted relates to functionality that is available as standard on the Indeemo platform as at the date of the Purchase Agreement. Any new features / functional upgrades launched by Indeemo after the date of the Purchase Agreement which are not included as standard in the Indeemo service are outside the scope of said Purchase Agreement. Should you wish to avail of said new features / upgrades, a revised Purchase Agreement can be prepared upon request.
The Project Scope and price quoted in the Purchase Agreement is based on the project details provided by you in your Request for Quote (RFQ). If the actual project details submitted to Indeemo for setup differ from the scope of the Purchase Agreement (e.g. the number of respondents changes, the number of countries changes, the duration of Fieldwork / app usage by respondents changes, the number of Target Groups / Segments changes, the phasing of Target Group start or end dates changes, the number of tasks changes, the types of Task List (All-at-once, Scheduled or Sequential) changes, the format of Tasks (text only tasks or tasks that include images or video) changes, the purpose of the project changes or if there are any additional requests / audit requirements needed (either by you our the Observer) prior to go live that were not included in the scope of the Purchase Agreement or if any other relevant details or information required to set up the Project changes, the actual Project details submitted to Indeemo will be treated as a new project and a revised Purchase Agreement will be prepared based on the Indeemo prices that are applicable at that date.
The person who submits the actual Project details to Indeemo via the New Project link in the Indeemo Dashboard will be designated as the Project Owner (“Project Owner”) and only this person will have access rights to amend the Task List(s) after the project has been set up by Indeemo.
The price quoted in your Purchase Agreement is based on the assumption that the submission of the actual Project Details for Project Setup will be final drafts that have been approved and signed off either by the Customer or by the Observer on whose behalf the Customer acts. If the Project Owner submits Draft project details to Indeemo for project setup and later require edits or amendments, additional costs will apply.
Once the Project details have been set up by Indeemo, the Project Owner will be given access to the Indeemo “Manage Projects” dashboard where she/he can preview the Task Lists and task details prior to go live and edit them if required to ensure there are no errors or omissions in the set up. If the Project Owner requires the input of Indeemo Support to edit the Task Lists after they have been set up, additional costs will apply.
Unless expressly stated in the Purchase Agreement the following exclusions apply:
All task lists and associated tasks are assumed to be text based and do not include image or video stimuli.
Mobile Screen Recording is excluded from the scope of the Purchase Agreement.
Automated video transcription is excluded from the scope of the Purchase Agreement.
Alterations to the Actual Project Details or project scope after the project goes live will be treated as a new project and will be quoted in a separate Purchase Agreement if such alterations are required.
The term Fieldwork has the definition set out in the Standard Conditions of Service. The Fieldwork duration will be as stated in the Purchase Agreement that was emailed to you. Any request to extend the Fieldwork duration beyond that stated in your Purchase Agreement will be treated as a new project and will be quoted for in a separate Purchase Agreement if required.
Dashboard Access: Customer access to the Indeemo Dashboard enables the Customer or the Customer’s employees or Agents to moderate, analyse and process the data which Respondents upload to Indeemo. Observer read-only access to the Indeemo Dashboard enables Observers / employees of your Client to view Respondent uploads and any Researcher / Respondent comments but not interact with or view the profile information of the Respondents.
Dashboard Access Period: Moderator and Observer access to the Indeemo dashboard will be made available upon written request from the Customer to the Customer, the Customer’s Employees or Agents and Observers nominated by the Customer for a period starting on the Fieldwork commencement date for the duration of the Fieldwork + 8 weeks.
At the end of the Dashboard Access Period, access to the dashboard will be removed for the Customer and Observers. An optional bulk export will be made available to the Customer before the end of the Dashboard Access Period to enable the Customer to completely export all project data from Indeemo. The bulk export will comprise two parts: (1) an Excel file for all text based project data (to be exported by the Customer directly from the Dashboard using the Export option) and (2) a Bulk Media Export email generated by Indeemo Support with links that enable the Customer to download a compressed “zip” file for each respondent that contains all of the media the respondent has uploaded to Indeemo. After this Bulk Media Export has been provided to the Customer, the Customer will have 7 days to download all of the Project Media from Indeemo. After these 7 days have elapsed, the Bulk Media Export links will be inactivated and the Customer will no longer have access to download these media zip files.
All project data will be permanently removed from Indeemo platform 21 days after the end of the Dashboard Access Period.
Extended hosting of the Project Data is available upon request under a subscription license. If the Customer or the Observer requests extended hosting of the project data, this request will be treated as a new project request and will be quoted for in a separate Purchase Agreement.
Invoices for new projects will be issued on the date of receipt of the New Project setup request and all fees must be paid within 30 days from the date of the invoice (unless alternative phasing of payments or alternative payments terms are explicitly defined in your Purchase Agreement).
Indeemo reserves the right to decline requests to quote for new projects.
For the avoidance of doubt, your submission of a New Project request to Indeemo for the project details that were quoted in the Purchase Agreement that was emailed to you constitutes your acceptance of the Purchase Agreement, the terms detailed herein, our Standard Conditions of Service and our Data Processing Agreement.
By accepting the Purchase Agreement you received via email and these terms, you also confirm that:
you agree to be bound by Indeemo’s Standard Conditions of Service
you act as The Data Controller for this project and that Indeemo acts as The Data Processor entirely under your instruction and you agree to be bound by the terms of the Indeemo Data Processing Agreement.
you have obtained the explicit, written consent of the Respondents who will take part in the Research Project (as defined in the Purchase Agreement) to use the personal information they upload to Indeemo as part of this research project and that this personal information will be used entirely for research purposes.
you have specified exactly to each Respondent how their uploaded personal information will be accessed, stored, used and distributed, for how long, and by whom and that they have explicitly consented to same.
you have obtained the consent of the Respondents to export their personal information from Indeemo to either your servers or the Observers’ servers and that you have explicitly outlined to the Respondents the exact location of said servers and if said servers are outside of the European Union.
you act as Data Controller and that all of the Researchers and Observers using Indeemo under your instruction for this research project have explicitly agreed in writing to be bound by the terms of this Purchase Agreement and your own Terms and Conditions / Privacy Statement(s) that are applicable to this project.
you agree to abide by our Data Privacy Statement.
